Junta Comercial requirements decide whether a Brazilian corporate filing is approved on the first review or comes back with an exigência, a defect notice that freezes registration until it is cured. The filer has 30 days from notice to fix it; otherwise the filing starts over and fees are paid again. This guide explains what the registry checks, why notices happen, the deadlines and the appeal routes.
In brief
- Time to cure a defect
- 30 days from notice
- Deadline missed
- New filing, fees again
- Reconsideration request
- Within the 30-day period
- Appeals
- 10 business days
- A curable defect triggers an exigência; an incurable one leads to rejection (Law 8,934/1994, art. 40).
- Registries may only raise defects provided for in federal registry rules, and must raise them all in the first review.
- Foreign documents are a leading cause: apostille and sworn translation must be right before filing.
- At volume, templates, cross-checks and classifying every notice cut repeat defects.
What Junta Comercial requirements and defect notices are
Each Brazilian state and the Federal District has a Board of Trade (Junta Comercial), 27 in total. They register company formations, amendments, minutes and mergers under Law 8,934/1994 and the rules of the federal registry department, DREI. Each filing is reviewed for legal formalities before registration.
The review has four possible outcomes. Approval completes the registration, and the data flows to the CNPJ register through the REDESIM integration. A defect notice (exigência) means a curable problem. Rejection (indeferimento) means an incurable one. Finally, eligible acts that use the DREI standard form, with name and location feasibility approved, may be registered automatically and reviewed afterward within 2 business days (art. 42).
By law, the registry has 5 business days to decide collegiate acts, such as forming a corporation (S.A.) or approving a merger, and 2 business days for other acts (arts. 41 and 42). In practice, however, total time depends far more on whether the filing passes the first review. For a full timeline of a new company, see how long it takes to open a business in Brazil.
Most common reasons for a defect notice
Under DREI Normative Instruction 81/2020 (art. 49), each notice must point to the exact document, page or clause involved. Notices cluster around a handful of themes, the same across registries.
Feasibility and company name
Acts that create or change a name, address or activity depend on a prior feasibility check for name and location. A classic defect is a name, address or activity in the act that differs from what was approved. In addition, the name must meet the rules of truthfulness and novelty and cannot be identical to an existing one (IN DREI 81/2020, arts. 18 and 22).
Registration data (DBE)
The federal entry form (DBE) generated at the Receita Federal must mirror the act exactly. For example, a new director included in the amendment but missing from the DBE leads to a notice.
Signatures and powers
Registries accept advanced or qualified electronic signatures (IN DREI 81/2020, art. 35). Still, notices often arise from a missing partner signature, an attorney without specific powers or an expired certificate. Powers of attorney for non-resident partners follow specific rules (art. 12).
Capital and ownership
Capital figures that do not reconcile between clauses, quotas that do not add up, or partner data that differs from the CNPJ register. In groups, this often comes from copying a draft from another entity.
Corporate purpose
The purpose clause must be precise and consistent with the activity codes in the registration. Also, the name cannot suggest an activity outside the purpose (art. 22).
Foreign documents
Documents issued abroad need an apostille, or consular legalization outside the Hague Convention, and a translation by a Brazilian sworn translator (IN DREI 81/2020, art. 15). A missing translated annex or an apostille on the wrong copy are frequent causes. See apostille and sworn translation in Brazil.
What the registry cannot require
Defect notices need a legal basis. Under DREI Normative Instruction 81/2020 (art. 49), a registry may not reject a filing or raise a defect for reasons other than those listed in the federal registration manuals. Exceptional requirements follow a separate procedure and must rest on a law, decree or DREI rule (arts. 55 to 57).
The DREI also publishes a list of matters that do not justify a defect notice. Examples include:
- proof of tax clearance or payment of taxes;
- proof of ownership or origin of assets or credits used to pay in capital;
- an administrator living in the same state as the head office;
- witness signatures, even if the instrument mentions witnesses;
- prior approval by a professional council for regulated activities;
- anything beyond apostille or consular legalization for foreign documents.
If the filer shows that a notice is unfounded, the file returns to review without new signatures (IN DREI 81/2020, art. 51, § 5).
The 30-day deadline to meet Junta Comercial requirements
The filer has 30 days from notice, or from publication of the decision, to cure the defect (Law 8,934/1994, art. 40, § 2). The DREI rules confirm these are calendar days (IN DREI 81/2020, art. 53). Two counting rules matter:
- Repeated notice. If the same defect comes back because it was not properly fixed, only the remaining time applies.
- New, unrelated notice. The full 30 days restart, and the registry must prioritize the file.
What happens after the deadline
If the file is not returned in time, it is treated as a new filing, and registry fees are charged again (art. 40, § 3). There is a second, less visible effect. Acts filed within 30 days of signature take effect from the signature date; filed later, they take effect only from the approval date (art. 36). Therefore, a mishandled notice can shift the effective date of an officer election, a capital increase or a quota transfer.
Reconsideration and appeals
Law 8,934/1994 (art. 44) provides three review routes. They differ in target, deadline and decision maker.
| Route | Against | Deadline | Decided by |
|---|---|---|---|
| Reconsideration request (pedido de reconsideração) | A decision raising a defect notice | Within the period to cure the defect | The same authority, in 3 business days (single) or 5 (panel) |
| Appeal to the plenary | Final decisions, such as a rejection | 10 business days | The registry’s plenary |
| Appeal to the DREI | Plenary decisions | 10 business days | DREI, last administrative level |
Appeal deadlines run from notice to the party or publication (art. 50). Appeals do not suspend the decision (art. 49). Moreover, the registry’s president dismisses late appeals, appeals signed by an attorney without a mandate and appeals filed before a final decision (art. 48).
Cutting defect notices at volume
For a single filing, a notice is an incident. For a multinational with many Brazilian entities, it is a data point. The method below turns that data into fewer notices.
Approved templates
Minutes, amendments and powers of attorney start from reviewed templates. Where possible, use the DREI standard form to qualify for automatic registration.
Registry checklists
Each registry has system and review particularities. A checklist per registry is checked before signatures are collected.
Cross-check before signing
Compare act, feasibility approval, DBE and entity data field by field. This step prevents most notices.
Classify every notice
Give each notice a category and root cause, then fix the template or checklist so the error does not repeat elsewhere.
Foreign parents should also plan document logistics. Board resolutions and powers of attorney signed abroad need apostille and translation before filing, and a resident legal representative must be in place. Questions investors ask
What does “exigência” mean at the Junta Comercial?
It is a defect notice: the registry found a curable problem and suspended registration until it is fixed. The filer has 30 days from notice to comply, and the file then returns to review under the same protocol.
How long do I have to answer a Junta Comercial defect notice?
Thirty calendar days from notice or publication of the decision, under art. 40 of Law 8,934/1994 and art. 53 of DREI Normative Instruction 81/2020.
What happens if the 30 days run out?
The filing is treated as new and registry fees are charged again. If the new filing date is more than 30 days after signature, the act takes effect only from approval, not from signature.
Can I challenge a defect notice I believe is wrong?
Yes. File a reconsideration request within the period to cure the defect. Registries may only raise defects provided for in federal registry rules.
Do Brazilian registries accept documents signed abroad?
Yes, with an apostille, or consular legalization for countries outside the Hague Convention, and a sworn translation into Portuguese. Electronic signatures at the advanced or qualified level are also accepted in digital filings.
Is the Board of Trade the same as the Junta Comercial?
Yes. “Board of Trade” is the usual English name for the Junta Comercial, the state commercial registry. There are 27, one per state plus the Federal District.
