Frequently asked
questions.
Does a foreign shareholder need a legal representative in Brazil?
Yes. To obtain a CNPJ or CPF and hold an interest in a Brazilian company, the foreign shareholder needs an attorney-in-fact resident in Brazil with powers to represent them before the Federal Revenue Service and to receive service of process.
Can the company’s director live abroad?
Yes, provided the director has a CPF and appoints an attorney-in-fact resident in Brazil with powers to receive service of process, valid for at least three years after the end of the mandate.
Does the power of attorney need an apostille?
As a rule, powers of attorney signed abroad need an apostille or consular legalisation in the country of origin and a sworn translation in Brazil.

Yes. We act as resident attorneys-in-fact for foreign shareholders and directors, tracking the validity of powers and registrations.
