Your paralegal and corporate arm in Brazil.
Law firms, consultancies and accounting firms abroad rely on LegalBR to execute the Brazilian corporate work of their clients' subsidiaries. You keep the client and the advice. We file, register, report and keep the records clean, under your brand or alongside it.
What we execute for your clients
We work as the operational layer behind your advice. Every matter has a written scope, and we stay within paralegal and registry work: legal opinions stay with lawyers and tax advice stays with accountants.
Scope
- Corporate filings at all 27 Boards of Trade: formations, amendments, minutes, conversions and closings
- Corporate books drafted, registered and kept current
- Good standing and due diligence certificates for companies and shareholders
- Resident legal representative for foreign shareholders and administrators
- Foreign investment registration and updates in the Central Bank SCE-IED system
- Entity management for subsidiaries: corporate calendar, annual approvals and powers of attorney
How we work with your firm.
The rules are agreed before the first matter starts, so both teams know exactly where each job ends.
- 01
Scope in writing
Each matter starts with a written scope: which acts we file, which documents the client provides and what stays with the lawyer or the accountant.
- 02
A single point of contact
One coordinator follows your matters from the first checklist to the final registration and answers your team in English.
- 03
Document flow handled
We send a checklist adapted to the client's country, review powers of attorney before signature and coordinate apostille and sworn translation.
- 04
Status reporting
You receive the status of each filing, requirement (exigência) and approval, in the format and channel your firm prefers.
- 05
Confidentiality
We sign a confidentiality agreement with your firm, and client data and documents are used only for the agreed matter.
- 06
The client stays with you
White label or co-branded, the relationship is yours. We never approach your clients for other services without your consent.
Questions partner firms ask
Can you work under our brand?
Yes. We can work white label, with documents and reports in your firm's standard, or co-branded when you prefer the client to see both firms. The choice is made per matter or per client.
Who keeps the client relationship?
Your firm. We report through the channel you choose and do not offer other services to your clients without your consent. Legal advice stays with lawyers and tax advice stays with accountants.
Which Boards of Trade do you cover?
All 27: one in each state and one in the Federal District. Practices vary from one Board to another, so we adapt each filing to the local requirements.
How long does it take to set up a subsidiary?
Once the apostilled and translated documents arrive in Brazil, a company is typically ready to operate in 15 to 30 days, unless the activity requires a specific license.
How do documents signed abroad reach Brazil?
We send a checklist for the client's country, review drafts and powers of attorney before signature, and coordinate apostille, sworn translation and registration of foreign documents when required.
Can you act as resident legal representative?
Yes. Shareholders and administrators living abroad must appoint a representative resident in Brazil. We can take that role and keep the representation documents current.
