Your case

Who will hold the quotas or shares? An S.A. needs at least two shareholders, except a wholly owned subsidiary (subsidiária integral), whose sole shareholder must be a Brazilian company.
Is the activity regulated in a way that requires an S.A.? Examples: a financial institution authorized by the Central Bank, an insurer, a football club company (SAF).
How will the company be financed? Debentures and listing are exclusive to the S.A. Commercial notes (notas comerciais) can be issued by both Ltda and S.A.
How often will partners come in or leave? In an Ltda, every quota transfer requires an amendment registered at the Junta Comercial. In an S.A., registered shares are transferred in the share transfer book.
What governance do you need? An Ltda can also have a board, but the S.A. comes with officers, shareholders meetings and, when present, a board of directors with detailed statutory rules.
Expected gross annual revenue A closely held S.A. with gross annual revenue up to R$ 78 million may make its legal publications electronically, free of charge (Law 6,404/1976, art. 294).

Frequently asked questions
Can a foreign company be the sole shareholder of a Brazilian S.A.?

No. An S.A. needs at least two shareholders (Law 6,404/1976, art. 80). The only exception is the wholly owned subsidiary, whose sole shareholder must be a Brazilian company (art. 251). A foreign company can, however, be the sole partner of an Ltda.

Can an Ltda raise debt?

It can borrow and, since Law 14,195/2021, issue commercial notes (notas comerciais). Debentures and a listing remain exclusive to the S.A.

Can I convert an Ltda into an S.A. later?

Yes. The partners resolve on the conversion and approve bylaws, and the act is registered at the Junta Comercial. The CNPJ stays the same.

Company formation

Picked the type? We set it up.

LegalBR drafts the constitutive act, files it at the Junta Comercial and handles the CNPJ and registrations. Once the documents arrive, the company is typically ready in 15 to 30 days, unless a specific licence is required.
