Electronic Invoicing in Brazil (NF-e and NFS-e): What a New Subsidiary Must Set Up (2026)

NF-e for goods, NFS-e for services, CBS and IBS fields since 2026: the registrations, certificate and system setup a foreign-owned subsidiary needs before its first invoice.

Electronic Invoicing in Brazil (NF-e and NFS-e): What a New Subsidiary Must Set Up (2026)

Electronic invoicing in Brazil is not optional: every sale of goods and every service is documented in a tax invoice that the tax authority validates in real time. For a new subsidiary, the invoice is where the company’s registrations, tax regime and systems all meet, and 2026 added a new layer with the national NFS-e standard and the CBS and IBS fields of the tax reform. This guide explains what to set up, in what order, before the first invoice.

  • A company selling goods needs a state registration and accreditation with the state tax authority before issuing NF-e.
  • Since January 2026, municipalities must follow the national NFS-e standard, either through the national issuer or by sharing data in the national layout.
  • Invoices now carry CBS and IBS fields; after the regulations were published on 30 April 2026, the grace period for penalties ended in August 2026.
  • Most invoicing problems in new subsidiaries come from registrations and tax codes, not from software.

Electronic invoicing in Brazil: which document for what

Brazil has several electronic tax documents, each tied to a tax and to a level of government. Goods are taxed by the states through ICMS (and by the federal government through IPI on manufactured products). Services are taxed by the municipalities through ISS. Consequently, the document a company issues depends on what it sells and where.

DocumentUsed forWho authorizes itTypical issuer
NF-e (model 55)Sales and transfers of goods between companies, imports and exportsState tax authority (SEFAZ)Industry, distributors, importers
NFC-e (model 65)Retail sales to final consumersState tax authorityShops and e-commerce in many states

CT-e (model 57)Freight transport servicesState tax authorityCarriers
MDF-e (model 58)Manifest of documents for cargo in transitState tax authorityCarriers and companies moving their own goods

The printed version of an NF-e, called DANFE, is only a representation. The legal document is the signed XML file authorized by the tax authority. Therefore, both issuer and recipient must store the XML files for the statute of limitations period.

Registrations before the first invoice

An invoice can only be issued by a company whose registrations match the activity. Once the company has its CNPJ from the Federal Revenue (Receita Federal), the following registrations come into play.

  1. Correct activity codes on the CNPJ

The CNAE codes registered with the Receita Federal must cover what the company will sell. Tax authorities cross-check them against the invoices.

  2. State registration (Inscrição Estadual)

Mandatory for companies that sell or move goods subject to ICMS. Without it, the company cannot issue NF-e.

  3. Municipal registration (Inscrição Municipal)

Mandatory for service providers. It enables NFS-e issuance and ISS collection in the municipality of the establishment.

  4. Accreditation to issue

The state accredits the company as an NF-e issuer, and the municipality enables NFS-e access, either in its own system or in the national issuer.

  5. Tax regime and parameters

The accountant defines the regime (Lucro Real or Lucro Presumido), tax codes and rates before the first invoice is issued.

Most registrations are now requested through the integrated REDESIM system when the company is incorporated. Even so, activities subject to licenses, such as health, food or controlled products, need additional approvals. Our guide to opening a company in Brazil shows where these steps sit in the incorporation process.

How NF-e works for goods

The NF-e is a file in a national XML layout, signed with the company’s digital certificate and transmitted to the state tax authority. The authority validates the file in seconds and returns an authorization protocol. Only then may the goods leave.

Key fields a subsidiary must get right

  • NCM: the Mercosur product classification, which drives IPI and many ICMS rules.
  • CFOP: the code describing the nature of the operation, such as sale, transfer, return or export.
  • Tax situation codes: for ICMS, IPI, PIS and COFINS, and now for CBS and IBS.
  • Recipient data: CNPJ or CPF, state registration and address, which the authority validates.

Corrections and cancellations

An authorized NF-e cannot be edited. Minor errors that do not change values, taxes or parties can be fixed with an electronic correction letter (CC-e). However, errors in values, quantities or the recipient require cancellation, which most states allow only within a short window after authorization, generally 24 hours. After that, the company must issue a return or complementary invoice. For this reason, testing the system before going live is worth the effort.

When the state system is unavailable, contingency modes allow issuance with later transmission. Companies that import goods also issue an NF-e for the entry of imported products, with data from the import declaration.

NFS-e and the national standard in 2026

For years, each of Brazil’s more than 5,500 municipalities could design its own service invoice. A company providing services in several cities had to deal with different portals, layouts and rules. The national standard changes that.

Complementary Law 214/2025, which regulates the tax reform, made the national NFS-e standard mandatory from January 2026. Municipalities have two options: use the free national issuer (Emissor Nacional) or keep their own system while sharing all invoice data with the National Data Environment (Ambiente de Dados Nacional) in the national layout. Municipalities that do not comply face suspension of voluntary federal transfers.

What it means for a new subsidiary

  • Check the municipality first. The provider must issue in the system its municipality adopted, whether the national portal or the local one connected to the national environment.
  • Expect one layout. The national layout, updated with technical notes for the tax reform, includes the CBS and IBS fields. Good invoicing software already supports it.
  • ISS rules remain municipal. Rates, typically between 2% and 5%, and withholding obligations still follow the municipality’s law until ISS is phased out.

Services exported to clients abroad still require an NFS-e. ISS does not apply to exports of services whose result is achieved abroad, but the invoice must be coded correctly, and the exchange contract should match it.

CBS and IBS fields on invoices

The tax reform (Constitutional Amendment 132/2023 and Complementary Law 214/2025) replaces PIS, COFINS, IPI, ICMS and ISS with the federal CBS and the subnational IBS, phased in from 2026 to 2033. Invoices are the backbone of the new system, because credits will depend on what the documents show.

In 2026, the test year, CBS is calculated at 0.9% and IBS at 0.1%. The amounts appear on invoices, but companies that comply with the ancillary obligations are released from paying them. Joint Act RFB/CGIBS 1/2025 confirmed this and also suspended penalties for missing CBS and IBS fields until the first day of the fourth month after the common regulations were published.

The regulations came out on 30 April 2026: Decree 12,955/2026 for CBS and Resolution CGIBS 6/2026 for IBS. As a result, from 1 August 2026, invoices without correct CBS and IBS information may be penalized. A subsidiary starting operations now should therefore configure the fields from the first invoice.

YearWhat changes on invoices
2026CBS 0.9% and IBS 0.1% shown on invoices; payment waived for compliant taxpayers
2027CBS charged in full; PIS and COFINS end; IPI reduced to zero for most products
2029 to 2032IBS increases gradually while ICMS and ISS decrease
2033ICMS and ISS extinguished; only CBS and IBS remain

Digital certificate and system access

NF-e and most NFS-e systems require a company digital certificate (e-CNPJ) issued under the Brazilian public key infrastructure, ICP-Brasil. The certificate signs each XML file. Two formats exist:

  • A1: a software file installed on a server, valid for one year. It suits automated invoicing through an ERP.
  • A3: stored on a token or card, valid for longer. It suits manual signatures but is harder to automate.

The certificate is issued in the name of the company and linked to the administrator registered as responsible before the CNPJ. When that administrator lives abroad, plan the identity validation in advance, because it requires a CPF and a validation session with the certification authority. Also, set a renewal reminder: an expired certificate stops invoicing the same day.

Setting up electronic invoicing in Brazil: a checklist

From incorporation to first invoice

  1. Step 1CNPJ with correct activity codes
  2. Step 2State and municipal registrations
  3. Step 3Certificate, system and tax setup
  4. Go liveTest invoice, then first sale
Registrations come first; software is configured only once the tax regime and codes are defined.
  1. Map the operations. List what the company will sell, from where, to whom and in which states and municipalities.
  2. Confirm activity codes. Check the CNAE codes on the CNPJ and the service list items under municipal law.
  3. Obtain registrations. State registration for goods, municipal registration for services, plus any licenses.
  4. Choose the tax regime. Simples Nacional is not available to companies with a legal entity as partner, so foreign-owned subsidiaries use Lucro Presumido or Lucro Real.
  5. Buy the e-CNPJ certificate. Choose A1 for automated systems.
  6. Select and configure software. Load NCM, CFOP, tax codes and the CBS and IBS parameters, and connect to the state and municipal environments.
  7. Test in the homologation environment. States offer a test environment for NF-e; use it before issuing in production.
  8. Define storage and controls. Keep the XML files, monitor invoices issued against the company’s CNPJ by suppliers, and reconcile with accounting monthly.

Payroll and labor obligations run in parallel through eSocial. Our guide to hiring employees in Brazil covers that side.

Mistakes that block invoicing

  • Missing activity codes. The system rejects services or products the CNPJ does not cover.
  • State registration requested late. A distributor that only applies after the first order loses weeks.
  • Wrong municipality for services. ISS is generally due where the provider is established, with exceptions in which it is due where the service is performed.
  • Certificate tied to a departing administrator. When the administrator changes, update the CNPJ record and issue a new certificate.
  • Ignoring the tax reform fields. Since August 2026, missing CBS and IBS information is no longer free of penalties.
  • Inactive registrations. A state registration can be suspended for failing to file returns, which blocks NF-e immediately.

Problems with registrations are often visible only when an invoice is rejected. A periodic registration review catches them earlier.

Questions investors ask

Is electronic invoicing mandatory in Brazil?

Yes. Companies selling goods must issue NF-e or NFC-e, and service providers must issue NFS-e. Paper invoices survive only in very limited situations, and the tax authorities validate electronic documents in real time.

What is the national NFS-e standard?

It is a single layout and data environment for service invoices across Brazil. Since January 2026, municipalities must use the free national issuer or share data in the national layout, under Complementary Law 214/2025.

Do invoices need CBS and IBS in 2026?

Yes. In 2026 invoices show CBS at 0.9% and IBS at 0.1%, but compliant taxpayers do not pay these amounts. Penalties for missing fields apply from 1 August 2026, four months after the regulations were published.

Can a foreign-owned company issue invoices before it has a state registration?

Not for goods. NF-e requires an active state registration and accreditation with the state tax authority. A service company needs a municipal registration and access to the municipality’s NFS-e system.

What digital certificate is needed to issue NF-e?

An ICP-Brasil e-CNPJ certificate, usually type A1 for automated systems. It is linked to the administrator responsible before the CNPJ and must be renewed before it expires.

Do service exports need an invoice?

Yes. The company issues an NFS-e for the foreign client. ISS does not apply when the result of the service is achieved abroad, provided the invoice and supporting documents show it.
